To assist in satisfying the needs of the Company and the individual business units on a global scale with regard to reviewing and negotiating commercial contract terms and conditions, legal risk management, M&A and restructuring projects, litigations/arbitration and general compliance issues. Guide and monitor outside legal counsel on legal matters for the Business Units. Interact with parent company management and staff departments (tax, insurance, EHS, etc.) on relevant matters.
Provide general legal advice to all Company business units worldwide to ensure compliance with Company Group policies. Review customer terms and conditions of contract and render advice to business units consistent with Company Group policy, relevant law and good commercial practice. Negotiate and liaise with customers on behalf of business units as required. Conduct training courses on terms and conditions for Company business units. Provide assistance in relation to global litigation, disputes and warranty claims. Assist in acquisitions, including drafting/reviewing documentation, due diligence and integration of same in the business in accordance with project schedule. Assist with compliance including but not limited to (a) reviewing due diligence on agents; (b) conducting due diligence; (c) advising on anti-bribery and corruption; and (d) advising on competition law. Guide and monitor outside legal counsel on legal matters for the Company Business Units. Liaise and interact with Parent company Corp management and staff departments (tax, insurance, EHS, IP, etc.) on relevant matters. Coordinate work (load) of the Legal Team on a day to day basis as an extension of the Chief Legal Counsel . Manage and supervise the Legal Assistant (if and when applicable). ESSENTIAL SKILLS & EXPERIENCE
Qualified lawyer (5-8 years PQE) Experience in dealing with commercial contracts and reviewing terms and conditions Experience in negotiating with a variety of companies Candidates will require relevant experience from a top US law firm or international equivalent Competent in dealing with large complex contracts Background in (a) engineering; (b) construction; (c) energy; (d) corporate/ commercial and/or (d) PFI Robust analytical ability combined with commercial fluency and attention to detail. Must be articulate and a team player. Overseas travel will be required. This may be significant as the role develops.
DESIRABLE SKILLS & EXPERIENCE
Relevant experience in dealing with international commercial contracts. Experience in negotiating with both US based and international companies. Legal experience particularly in-house as opposed to private practice would be an advantage · Experience of general corporate work. Experience in compliance issues e.g. competition law, bribery and corruption Complexity and Creativity Needs to have strong communication skills in order to manage cultural sensitivities Judgement and Decisions Candidate must be able to understand authority limits and when to refer matters to Company Group Management and/or Parent company Corporation for approval and to manage this process. Candidate must also be able to assess contractual risk and apply commerciality to this process to facilitate the successful conclusion of contractual negotiations on behalf of Company business units. Such assessment will frequently occur during a customer negotiation requiring a candidate to possess the ability to think and act quickly and appropriately in a pressure situation Contacts Internal Company business units, Company Group Management, Global Legal Team, Parent company/Company staff departments (tax, insurance, EHS, IP, etc.) External Customers of Company business units, liaising with external counsel both in the US and internationally.
