To assist in satisfying the needs of the Company as well as the needs of US based corporate office and the individual business units on a global scale with regard to reviewing and negotiating commercial contract terms and conditions, legal risk management, M&A and restructuring projects, litigations/arbitration and general compliance issues. Guide and monitor outside legal counsel on legal matters for the Business Units. Interact with parent company management and staff departments (tax, insurance, EHS, Trade Compliance etc.) on relevant matters.
Provide general legal advice and training to all Company business units worldwide to ensure compliance with Company Group policies. Review customer terms and conditions of contract and render advice to business units consistent with Company Group policy, relevant law and good commercial practice. Negotiate and liaise with customers as well as suppliers on behalf of business units as required. Conduct training courses on terms and conditions for Company business units. Provide assistance in relation to global litigation, disputes and warranty claims. Assist in acquisitions, including drafting/reviewing documentation, due diligence and integration of same in the business in accordance with project schedule. Assist with compliance including but not limited to (a) reviewing due diligence on agents; (b) conducting due diligence; (c) advising on anti-bribery and corruption; and (d) advising on competition law; (e) trade compliance Guide and monitor outside legal counsel on legal matters for the Company Business Units. Liaise and interact with Parent company Corp management and staff departments (tax, insurance, EHS, IP, etc.) on relevant matters.
Qualified lawyer in any UK jurisdiction
- 2-5 years PQE
- Relevant experience in dealing with international commercial contracts.
- Experience in negotiating with both UK based and international companies.
