Position Summary

Working closely with these different stakeholder groups, the Associate General Counsel Developing and improving processes to ensure that Asia business operations are conducted in a manner that complies with regional laws and regulations and with corporate governance policies. Managing all commercial legal matters relating to the Company’s Asian operations, including contract negotiation with joint venture partners, customers and suppliers, employment matters, property matters and interaction with government authorities. Implementing transactions relating to treasury, finance and tax planning matters with company accounting, finance and tax specialists. Responsible for managing all strategic legal services in the Asia region (M&A, setting up new JV, WOFE, FICLS, R&D center and new business / entity set up etc.) Managing the relationships with external law firms in Asia to ensure that external legal services are managed efficiently and cost-effectively. Providing practical advice and support to the company`s operating management teams in Asia on issues that have a legal dimension.

Qualifications

The successful candidate will be fluently bilingual in Mandarin and English and should have extensive experience as a corporate or commercial lawyer in a reputable private firm or as a legal counsel at a major international corporation with significant operations in China & Asia. In addition, the successful candidate will have the following competencies: Excellent corporate and commercial legal skills, including the ability to effectively draft and negotiate contracts in Mandarin and English and focus on details while not losing site of the big picture and translate legal documents between the two languages. Solid business acumen and judgment, including the ability to set priorities, align plans and work with multiple-stakeholders, diplomatically and effectively, to ensure that the Asian operations operate in compliance with law and company corporate governance policies. Excellent communication skills, including the ability to communicate complex issues clearly and to be persuasive in a manner that is both direct and diplomatic. Familiarity with the legal principles and practice of the United States or Europe and, preferably, some work or educational experience in the USA or Europe. The ability and desire to work independently with limited direct supervision.
